Q - What is the purpose of forming Cerexagri-Nisso LLC?
A - The Cerexagri-Nisso LLC represents the strategic combination of the partners' marketing/sales and technical know-how with the intent to expand our combined businesses in our target markets as well as to develop and bring new chemistries to the market efficiently. Initially the JV will market all of the Cerexagri preharvest products and Nisso's Topsin® M and Assail®. Over time the partners will bring additional products to the market through the JV.
Q - When does this change take effect?
A - The official date for doing business in preharvest North America as Cerexagri-Nisso LLC will be January 1, 2006. For the remainder of 2005, there will be no operational changes to the way we conduct business with you.
Q - How will this change impact Cerexagri's customers?
A - We are structuring the new marketing and sales company for operating in the marketplace and so that it is the least disruptive to our customers. Operationally, there will be no changes in our daily operations; your invoice will look the same, your payment procedures will remain the same, our check will be cut in the same way - all these will have the new Cerexagri-Nisso LLC logo to reflect the JV.
Q - Whom will I deal with?
A - There will be no changes in your day-to-day personal contacts. You will continue to deal with the same customer service associates and sales and field technical representatives with whom you have conducted business in the past.
Q - Will there be any changes to your product line?
A - The joint venture will be responsible for selling Cerexagri's preharvest products as well as Nisso's Topsin and Assail. Over time the JV will bring additional products to market.
Q - Can we keep selling products with the old logo?
A - There will be an overlap of existing stock with the existing Cerexagri logo. New packaging will bear the new Cerexagri-Nisso LLC logo. All required registrations for products with the old company name and logo will be maintained in order to allow our customers to sell out of this packaging at their convenience.
Q - Is this going to change Cerexagri's marketing programs or approach to the market?
A - The creation of the joint venture will not change how we approach the market. We will continue to attempt to offer marketing programs that are responsive to our customers' needs and which maintain our competitive position.
Q - Do you expect any changes in existing relationships with other marketing partners of either Nippon Soda or Cerexagri?
A - Both Cerexagri and Nippon Soda have long standing relationships with other manufacturer's and strategic partners. The creation of the joint venture is not intended to replace or restructure these existing relationships.
Q - What happens to Cerexagri, Inc. in the marketplace, will it still exist?
A - Cerexagri will continue to operate independently in countries outside of North America. The joint venture will assume responsibility for marketing Cerexagri's preharvest products in North America as well as Nisso's Topsin and Assail in the United States.
Q - What happens to Decco North America?
A - Decco North America will continue to transact business under the Decco brand as it does now. Decco, whose business focuses on post harvest markets, will not be affected by the joint venture, which is focused only on pre-harvest markets.
Q - Will the company headquarters move?
A - There are no plans to move either the Cerexagri offices from the Freedom Business Center in King of Prussia or the Nisso America headquarters from New York City. The headquarters for the Cerexagri-Nisso LLC will be in King of Prussia.
